Where are Grupo Carso shares traded and what is the stock symbol?

The Series A-1 common, nominative shares, corresponding to the minimum fixed capital of Grupo Carso S.A.B. de C.V., without the right of withdrawal, are listed in the National Securities Registry and are traded in the Mexican Stock Exchange under the ticker symbol GCARSO.

Are the shares of Grupo Carso part of the BMV/Dow Jones Index?

On March 19, 2019, the GCARSOA1 was once again listed in the BMV/S&P Dow Jones Index (S&P DJI)

How many members of the Board of Directors of Grupo Carso are independent?

In the General Ordinary Shareholders’ Meeting held on April 30 of 2020, the members of the Grupo Carso, S.A.B. de C.V. Board of Directors for the fiscal year of 2020 were ratified. The Board was composed of 12 titular directors and 6 substitute directors, of whom 10 were classified as independent, according to the documentation filed by the Company, and in accordance with the provisions of Article 26 of the Stock Market Law.

What is the remuneration of the members of the Board of Directors of Grupo Carso?

During the fiscal year of 2019, the remuneration of the Board members was $28,000.00 National Currency for their attendance at each meeting of the Board of Directors. Additionally, the directors of the Company Practices and Auditing Committee will receive an additional honorarium of $15,000.00 National Currency for each meeting of the said committee that they attend.

Does Grupo Carso have Employee Stock Ownership plans?

Grupo Carso does not have any agreement or program involving employees in the Company’s capital, since it does not have employees.

Does Grupo Carso have a program for the repurchase of its own shares?

Pursuant to the applicable provisions of the Stock Market Law, the Board of Directors of Grupo Carso S.A.B. de C.V. has the faculty to acquire and place the Company’s own shares. In the Ordinary Shareholders’ Meeting held on April 30, 2020 it was determined that the maximum amount of resources for the repurchase of shares should be $1,000,000,000.00 (one billion and 00/100 pesos, Mexican Currency).

Which is the auditing firm for Grupo Carso?

The auditing firm of Galaz, Yamazaki, Ruiz Urquiza, S.C. (a member of the Deloitte Touche Tohmatsu Limited firm) has been the auditing firm that has audited Grupo Carso’s financial statements since 2006. This was approved by the Board of Directors at its meeting held on October 2 of that same year, basing its choice on the favorable opinion of the Company Practices and Audits Committee.

How is Grupo Carso’s auditing firm chosen?

Each time that GCarso wishes to designate external auditors, an invitation to submit their offers is issued to the most prominent auditing firms in Mexico. Once the offers for professional services have been received, the Company Practices and Audits Committee studies and analyzes the offers, verifying that the firm offering the best conditions is in compliance with the requirements established in the applicable legal provisions. Once it has selected the auditing firm it makes its choice known to the Board of Directors, recommending the conditions under which the said firm should be contracted and the scope of its services. On its part, the Company Practices and Audits Committee, after a study and discussion of the matter, approves the contracting of the auditing firm in question.
